Terms of Service

1. Who we are
Early Morning Health provides the Readiness Desk: a documentation and coordination service that helps healthcare organizations stay prepared for audits, insurer renewals, security questionnaires, and transaction diligence. These terms govern use of this website and, at a summary level, describe how we engage. Client engagements are governed by a separately signed services agreement, which controls if it conflicts with anything here.
2. What we do
We organize and maintain compliance documentation, track deadlines and renewals, respond to inbound documentation requests, and coordinate with a client's existing lawyers, brokers, auditors, and vendors. Deliverables, timelines, and fees for a specific engagement are defined in that engagement's services agreement.
3. What we do not do
We are not a law firm and do not provide legal advice. We do not handle protected health information (PHI). We do not install software or access production systems. We do not act as an auditor, insurance broker, or certifying body. Clients must not send us PHI; if we receive it in error, we delete it and notify the client.
4. Client responsibilities
Clients review and approve all final language, disclosures, and documents before they are used or released. Clients remain responsible for their own legal and regulatory compliance and for decisions made based on materials we organize or draft.
5. No guarantees
We do not guarantee audit outcomes, certification results, insurance placements or pricing, deal closings, or any other third-party decision. We commit to our own deliverables and response times; outcomes that depend on third parties are outside our control.
6. Confidentiality
We treat client materials as confidential and use them only to deliver the engaged services. Our handling practices are described on our Security Posture page, and specific confidentiality obligations are set out in each services agreement.
7. Website content
Content on this site is general information, not professional advice. Sample documents and illustrations (including the sample readiness report) are fictional and provided to show format and level of detail only.
8. Fees
Pricing ranges published on this site are indicative. Actual fees are fixed in each services agreement before work begins.
9. Limitation of liability
To the maximum extent permitted by law, our aggregate liability arising out of use of this website is limited to one hundred dollars (US $100). Liability arising from a client engagement is governed by that engagement's services agreement.
10. Changes
We may update these terms from time to time. The effective date below reflects the latest revision; continued use of the site after a change constitutes acceptance.
